These Terms of Service (“Terms”) govern your use of our website, software, and services (“Services”). By registering for, accessing, or using HyperSuggest, you agree to be bound by these Terms.

2. Eligibility

  • You must be at least 18 years old (or the legal age of majority in your country) to use HyperSuggest.
  • If you use HyperSuggest on behalf of a company, you represent that you have authority to bind the company to these Terms.

3. Account Registration

  • You must provide accurate and complete information when creating an account.
  • You are responsible for safeguarding your login credentials.
  • You must notify us immediately if you suspect unauthorised access to your account.

4. Services & Subscriptions

  • HyperSuggest is offered as a subscription-based SaaS.
  • Plans, pricing, and features are available on our website.
  • Subscription fees are billed in advance and are non-refundable, except as required by EU consumer law (see section 7 – Right of Withdrawal).
  • We may change pricing or features with reasonable prior notice.

5. Acceptable Use

You agree not to:

  • Use HyperSuggest in violation of applicable laws or regulations.
  • Attempt to reverse engineer, copy, or resell our Services.
  • Upload malicious code or interfere with the security of the Services.
  • Misuse data from HyperSuggest in a way that infringes intellectual property rights or violates privacy laws.

6. Intellectual Property

  • All content, software, and materials of HyperSuggest are owned by us or our licensors.
  • We grant you a limited, non-exclusive, non-transferable licence to use the Services according to these Terms.
  • You retain all rights to your own data and content uploaded or generated with HyperSuggest.

7. Right of Withdrawal (EU Consumers)

If you are a consumer within the EU:

  • You have a legal right to withdraw from your subscription within 14 days of purchase, without giving a reason.
  • To exercise this right, notify us by email within 14 days of your initial purchase.
  • If you request immediate access to HyperSuggest before the withdrawal period ends, you acknowledge that you may lose the right of withdrawal once the service has been fully provided.

8. Data Protection & Privacy

  • We process personal data in accordance with the General Data Protection Regulation (GDPR).
  • Details are outlined in our Privacy Policy.
  • We may use aggregated, anonymised data for analytical and service improvement purposes.

9. Availability & Support

  • We aim to provide continuous availability of HyperSuggest but do not guarantee uninterrupted service.
  • Maintenance, updates, or outages may cause temporary unavailability.

10. Limitation of Liability

  • We provide HyperSuggest “as is” and “as available.”
  • To the maximum extent permitted by law, we disclaim liability for indirect or consequential damages (loss of profits, data, or business).
  • Our total liability is limited to the subscription fees paid by you in the 12 months prior to the claim.
  • Nothing in these Terms excludes liability for fraud, gross negligence, or mandatory consumer rights under EU law.

11. Termination

  • You may cancel your subscription at any time via your account settings.
  • We may suspend or terminate your account if you breach these Terms.
  • Upon termination, your access to HyperSuggest will end, but your data may be retained as required by law.

12. Governing Law & Dispute Resolution

  • These Terms are governed by the laws of Germany, without regard to conflict of law rules.
  • If you are a consumer, you may also rely on mandatory consumer protection laws of your country of residence.
  • The European Commission provides an online dispute resolution (ODR) platform: https://ec.europa.eu/consumers/odr.
  • We prefer to resolve disputes directly – please contact us before initiating formal proceedings.

13. Changes to Terms

  • We may update these Terms from time to time.
  • If we make material changes, we will notify you in advance.
  • Continued use of HyperSuggest after changes take effect constitutes acceptance of the revised Terms.
